1. Who you are contracting with Deskly ("Deskly", "we", "us") operates this freelancer marketplace and support-desk platform. Deskly is the trading name of WowzaHosting. By creating an account or using the service you enter into an agreement with us and confirm you are of legal age and, where you sign up on behalf of an organisation, that you have authority to bind it.

2. Acceptance of these terms By continuing to access or use the platform you agree to these Terms & Conditions, our Privacy Notice, our Refund Policy and our Payment Terms. If you do not agree, please stop using the service.

3. What the service provides Deskly provides a hosted support-ticket desk (tickets, categories, agent assignment, attachments, real-time messaging, analytics), a marketplace where freelancers list and sell services, escrow-backed order handling, checkout add-ons and tiered memberships. Deskly is a platform: contracts for freelance work are formed between the buyer and the seller, not with Deskly.

4. Your account You must give accurate registration details and keep them current. You are responsible for keeping your credentials confidential and for all activity carried out under your account. Tell us immediately if you suspect unauthorised access.

5. Acceptable use You must not misuse the service. In particular you must not: use it unlawfully; commit fraud, send spam or engage in deceptive listings; infringe anyone's intellectual property; upload malware; probe, scan or interfere with the security or integrity of the platform; scrape or bulk-extract data; or attempt to circumvent fees, escrow or technical limits.

6. Licence and restrictions We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you have selected. You may not reverse engineer, resell or redistribute the platform.

7. User content You keep ownership of the content you upload (listings, tickets, messages, attachments, deliverables). You grant us a limited licence to host, store and process that content solely so we can operate the service for you.

8. Intellectual property We retain all rights in the platform, including its software, design, documentation and branding.

9. Memberships, fees and earnings Memberships are billed monthly in advance. Your membership tier determines the percentage of order value you retain (Free 60%, Basic 70%, Pro 80%, Network 90%, unless stated otherwise on our pricing page). Prices and retention rates may be updated; changes to your recurring price take effect from your next billing period.

10. Payments and subscriptions Payment, billing, currency, tax, invoicing, subscription renewal, cancellation and refund mechanics are handled by our reseller. Please read the Paddle Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms, our Payment Terms page and our Refund Policy.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

11. Escrow, delivery and payouts Funds for marketplace orders are held until the work is delivered and approved, or until the review window auto-releases them. Released earnings enter your wallet and are paid out on the schedule described in our Payment Terms.

12. Service level We work hard to keep the platform available, but we do not guarantee uninterrupted or error-free performance.

13. Warranties To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

14. Liability To the extent permitted by law, our aggregate liability is limited to the fees you paid us in the 12 months before the claim. We exclude indirect, consequential and special damages, including loss of profits, data or goodwill. Nothing here excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.

15. Indemnity You indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.

16. Suspension and termination We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination you may export your data for a reasonable period before it is deleted.

17. Changes to these terms We may update these terms. Material changes will be reflected in the "last reviewed" date above and, where appropriate, notified in-app.

18. Governing law and disputes These terms are governed by the laws of the jurisdiction in which WowzaHosting is established, and its courts have exclusive jurisdiction.

19. Assignment and force majeure You may not assign your rights without our consent. We may assign in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control.
